Executive Advisory

Judgement, applied to the decisions that matter most.

Executive advisory is not a service line. It is a relationship with the people who carry the consequence of the decision.

The discipline

What executive advisory actually is.

An executive advisor is someone a leader can think aloud with: experienced enough to be useful, independent enough to be honest, and close enough to the business to be practical.

The work is not analysis for its own sake. It is helping a founder, chief executive or board define the real commercial question, weigh what genuinely matters, and arrive at a decision they can defend and execute.

That means being involved before the decision is made rather than after. It means reading the shareholders' agreement and the growth plan as a single document, because in practice they are. And it means saying the thing the room already knows needs saying.

We are not a substitute for specialists. Your lawyers, auditors and bankers each answer their own question well. Our role sits above and alongside them — defining the commercial question they are being asked to serve, and making sure their advice adds up to a decision.

Positioning

It helps to be precise about what this is.

What Sovereign is
  • An executive advisory firm working directly with founders, CEOs, executive teams and boards
  • A principal-led relationship — the person you meet does the work
  • Commercially and legally fluent, and comfortable in both registers
  • Independent: no products, no transaction fees, no position in the outcome
  • Practical — concerned with what happens after the decision as much as before it
What Sovereign is not
  • A management consultancy running methodologies through junior teams
  • A law firm — we do not act as attorneys of record or provide legal representation
  • A financial advisory practice — we do not give investment, tax or audit advice
  • A coaching business — the subject is the decision, not the individual
  • A vendor of frameworks, reports or slideware
How it works

From first conversation to decisions made.

A Discovery Discussion

A confidential conversation, without obligation, about the decision in front of you. We will tell you plainly whether we are the right people to help — and if we are not, who is.

Framing the real question

Before any work begins, we agree what is actually being decided, who decides it, and what a good outcome looks like. The brief you arrive with and the question we end up answering are often different.

A defined engagement

A short written proposal sets the scope, the rhythm, the access and the fee. Ongoing advisory work is retained monthly; projects and transactions are scoped and fixed. There are no hourly billing surprises.

Working alongside you

In the room where the decision is made — with the executive team, at the board table, or one-to-one with the chief executive. We coordinate with your existing advisers rather than displacing them.

Decisions made, and executed

Advice that stops at the recommendation is half-finished. We stay through implementation for as long as it is useful, and we say when it no longer is.

Engagements

Six ways we are engaged.

In practice these overlap. Most long-standing relationships begin as one and become another.

01  /  Engagement

Executive Advisory

An ongoing, confidential relationship with the founder, chief executive or executive team — a standing place to think aloud before decisions are made rather than after.

Most of our work begins here. It is not a project with a deliverable at the end; it is a continuing relationship that gives a leader somewhere to take the question they cannot easily raise internally. Rhythm is set to the business: a standing monthly session, availability between, and presence at the moments that matter.

Where this helps
  • A founder or chief executive without a genuine peer to think with
  • An executive team that needs an independent voice in the room
  • A business entering a period of significant change or growth
  • A leader newly appointed into a role with unfamiliar exposure
The outcome

Decisions made with perspective, tested before they are taken, and owned with confidence.

02  /  Engagement

Strategic Projects

A defined commercial question, taken from ambiguity to a decision the leadership team can act on — with the reasoning made explicit.

Some questions are too large to absorb into the ordinary rhythm of the business and too consequential to answer quickly. We take them on directly: framing the real question, gathering what is genuinely needed, consulting the people who matter, and returning a clear recommendation with the trade-offs visible.

Where this helps
  • A market entry, product direction or capital allocation decision
  • A strategic review following a change in conditions or ownership
  • A partnership, joint venture or commercial restructuring question
  • A decision the leadership team has circled for months without resolving
The outcome

A decision taken, documented and defensible — and a leadership team aligned behind it.

03  /  Engagement

Governance Advisory

Boards, shareholder arrangements and decision rights built to hold under pressure — not only in the quarters when everyone agrees.

Governance is what determines who decides, on what basis, and what happens when people disagree. We work with boards and shareholder groups to make those answers explicit before they are tested: board composition and effectiveness, reserved matters, delegation, shareholder agreements and the practical mechanics of dispute and exit.

Where this helps
  • A board that has outgrown its original composition or mandate
  • Shareholder arrangements written for a smaller, simpler business
  • Founder or family transitions and succession
  • Preparing a company for external investment or institutional ownership
The outcome

Clear decision rights, a board that functions, and arrangements that survive disagreement.

04  /  Engagement

Business Structuring

Entities, ownership and commercial arrangements aligned to where the business is going rather than where it started.

Structure is rarely revisited until something forces the question — an investor, an acquirer, a departure. We work through it deliberately: what the shareholders actually want the business to become, what the current structure permits, and what the path between them costs. We coordinate the specialist tax and legal input rather than replacing it.

Where this helps
  • Group structures that no longer match how the business operates
  • Intellectual property, assets or contracts held in the wrong place
  • Preparing for external capital, a sale or generational transfer
  • Establishing or rationalising cross-border operations
The outcome

A structure the business can grow into, with the commercial intent behind it written down.

05  /  Engagement

Strategic Transactions

Acquisitions, disposals, investment and partnership — advised from the principal's side of the table, from first conversation to signature.

In most transactions, every adviser in the room is paid on completion. We are not. We sit beside the principal: establishing what the business is genuinely worth to this counterparty, holding the cumulative negotiating position, and naming the walk-away point in advance. We work alongside corporate finance and legal counsel rather than in place of them.

Where this helps
  • An unsolicited approach from an acquirer or investor
  • A planned sale, succession or partial exit
  • Acquisitions, joint ventures and significant commercial partnerships
  • Readying a business for diligence twelve to twenty-four months ahead
The outcome

A transaction done on terms the principal understands — or a decision not to do it.

06  /  Engagement

Fractional Executive Support

Senior executive capability for a defined period, where the business needs the experience but not yet the permanent appointment.

Some businesses need an experienced executive in the seat for a season: through a transition, during a search, or while an initiative that demands seniority runs its course. We take a defined mandate with defined authority, do the work, and hand over properly — including to the permanent appointment that follows.

Where this helps
  • A leadership gap during a search or after an unplanned departure
  • An integration, turnaround or major programme needing senior ownership
  • A business not yet able to justify a permanent executive appointment
  • Building the capability of an executive stepping up into the role
The outcome

The seat filled properly, the work done, and the business stronger when we step out.

Confidentiality

Everything discussed is confidential. We do not publish client names, use logos, or refer to engagements without express permission.

Where a conflict exists, we will say so at the first conversation and decline. Discretion is not a policy we describe — it is a condition of the work.
